1. Overview
These Terms & Conditions ("Terms") govern your use of Portway's one-time integration and onboarding services for personal AI agents (including OpenClaw and Hermes) on infrastructure you control. By booking an onboarding call, request or paying for services, you agree to these Terms in full.
2. What we provide
We offer professional setup assistance: scoping, deployment guidance, configuration on your chosen cloud or host, wiring of API keys you supply and a handoff runbook. We aim to configure environments in a secure, personal-use-oriented manner. We do not operate, monitor or guarantee your infrastructure after handoff unless you separately engage us for paid maintenance.
3. Your responsibilities
- You own and are solely responsible for all cloud accounts, servers, domains, API keys, billing and third-party services connected to your agent.
- You are responsible for how you use the agent, including prompts, automations, integrations, data processed and any actions taken on your behalf.
- You must comply with applicable laws and with the terms of your cloud and API providers.
- You are responsible for securing credentials, access controls, backups and ongoing updates after handoff.
4. No liability for infrastructure use
To the fullest extent permitted by law, Portway and its operator are not responsible or liable for anything done using the infrastructure, software or configurations we help you set up — whether by you, your users, automated tools or third parties. This includes downtime, data loss, security incidents, misconfiguration after handoff, cost overruns, API abuse or any operational or business impact arising from your use of the setup.
5. Attachments, links and external content
Personal agents may fetch or process content from the web, including links and attachments. We are not responsible for insecure attachments, malicious files, phishing links or harmful content opened, downloaded or executed through external websites, email, messaging channels or tools you connect. You assume all risk when enabling web access, file handling or third-party integrations. We provide setup intended for secure, personal-use environments; maintaining that security after handoff is your responsibility.
6. Disclaimer of warranties
Services and deliverables are provided "as is" and "as available" without warranties of any kind, whether express or implied, including fitness for a particular purpose, uninterrupted operation or error-free configuration. Open-source and third-party software are subject to their own licenses and limitations.
7. Limitation of liability
To the maximum extent permitted by law, our total liability for any claim relating to these Terms or the services shall not exceed the amount you paid us for the specific integration engagement giving rise to the claim. We shall not be liable for any indirect, incidental, special, consequential or punitive damages or for lost profits, data or goodwill.
8. Maintenance and follow-up work
The flat integration fee covers the scoped one-time setup and the follow-up period described at purchase (e.g. email Q&A). Ongoing maintenance, upgrades, incident response, reconfiguration or managed hosting are not included unless you request them separately. We may offer such work at a separate, modest fee; availability and pricing will be agreed before work begins.
9. Payment and refunds
Fees are due as stated in your payment link or invoice. Because work is customized and often begins after the onboarding call, refunds are at our discretion once substantial work has started, except where required by applicable law.
10. Changes
We may update these Terms from time to time. The "Last updated" date above reflects the current version. Continued use of our services or booking a new call after changes constitutes acceptance of the updated Terms.
